HCC - Members of the Company at their 98th Annual General Meeting held on Tuesday, September 17, 2024, have authorized the Board of Directors of the Company to raise funds by way of issuance of any instrument or security for cash or otherwise, including equity shares, fully or partly convertible debentures, non-convertible debentures along with warrants, any other equity based securities, Global Depository Receipts, American Depository Receipts, or any combination thereof whether rupee denominated or denominated in one or more foreign currencies, by way of qualified institutions placement preferential allotment or a private placement and any combination thereof or any other method as may be permitted under applicable laws, and on such terms and conditions as may be considered appropriate by the Board in its absolute discretion under applicable law, for an aggregate amount not exceeding Rs. 1500 Crores Rupees One Thousand Five Hundred Crores Only or an equivalent amount thereof subject to such regulatory approvals as may be required.
